In order to serve our dynamic, international firm, this job will be a member of the transformative team striving to fulfill the department’s strategic goals.

Currently, the Vice President, Governance Counsel, and Assistant Secretary for the Office of the Corporate Secretary are responsible for this post.

Responsibilities:

  • Handle all facets of entity upkeep, including state and local filings for new business formations, foreign qualifications, dissolutions, name changes, conversions, mergers, and DBAs.
  • Help with the creation of governing instruments (bylaws, operating agreements), the appointment of officers and directors, and the creation of annual consents, as well as all other facets of subsidiary governance.
  • Support internal clients and functional partners in the production of records and reports to support regulatory and tax filings, internal and external audits, corporate transactions, and treasury banking and KYC requirements, as well as shareholder and member consents, resolutions, officer certificates, and other types of corporate documentation.
  • Assist with managing the Corporate Secretary Inbox, responding to client and internal stakeholder requests, and providing information on the requirements, protocols, and procedures of DE and CA Companies.
  • Communicate with registered agents and outside lawyers.
  • Keep electronic minute books and records for the company.
  • Help with the creation, administration, and management of subsidiary governance rules, regulations, and processes.
  • Assist with departmental presentations and trainings.
  • Whenever necessary, assist with additional corporate secretary and governance-related projects.

Requirements:

Skills/Experience:

  • Creating, tearing down, and sustaining both domestic and foreign subsidiaries
  • Corporate writing, such as bylaws, consents, certificates, charters, and resolutions
  • Systems for managing entities (CSC, Diligent Entities, GEMS or similar)
  • Database of registered agents (CSC Navigator or similar)
  • Management of electronic records and documents

The following is what you will need to succeed in this position:

  • A bachelor’s degree, as well as any necessary state laws and the American Bar Association’s requirements for certification, education, and work experience.
  • 7+ years of paralegal experience closely related to corporate/subsidiary governance
  • Deep understanding of Secretary of State processes, procedures, and standards as well as Delaware and California corporate law
  • Expertise and experience in operational entity management, including familiarity with the entity management and registered agent databases
  • Experience managing documents and keeping records electronically Excellent communication abilities, both verbally and in writing
  • Good organizing abilities and meticulousness
  • Being able to manage a heavy workload with high levels of precision, efficiency, and dependability in a quick-paced environment
  • Independence while working with internal clients and stakeholders
  • A cooperative and team-centered approach
  • Building relationships, forming alliances, and inspiring individuals to want to work with you using your “EQ” talents will promote departmental cooperation.

If you possessed the following knowledge or expertise, it would be fantastic:

  • Experience managing a big volume of legal entities
  • Experience working in-house at a large public company or in a large national law practice
  • Knowledge of matter management software, legal billing, and budgeting (Legal Tracker)

Based on a 40-hour work week, the salary range for this remote employment is $97,088 to $149,820 annually. Depending on company needs, the weekly timetable may change. Internal equity will be taken into consideration when determining the basic pay that is actually offered, and it may also change based on the candidate’s geographic location, job-related knowledge, abilities, and experience, among other things. Depending on the level and job offered, the remuneration package may include a bonus and/or long-term incentive units in addition to the complete range of medical, financial, and/or other benefits.
